TechVentory Seller Agreement

Version 1.0 — Effective Date: August 8, 2026
Operating Entity: CService Appliance Repair, Inc., a California corporation
Business Address: 12051 World Trade Dr, Unit 1, San Diego, CA 92128
Legal / Support / Privacy Requests: info@csdcca.com

This Agreement defines the obligations of every seller who lists appliance parts or other permitted Items on TechVentory.

1. Agreement, Incorporation and Priority

This Seller Agreement supplements the TechVentory Terms of Service and is binding on every User who lists, offers, or sells an Item. If this Agreement conflicts with the Terms on a Seller-specific obligation, this Agreement controls for that obligation to the extent permitted by law.

2. Seller Eligibility and Authority

You must be at least 18, have legal capacity, provide accurate seller, payout, tax, and contact information, and have authority to sell through the account. If you act for a Company Account, you represent that you have authority to list and sell the applicable company inventory. You must cooperate with legally required seller verification, including any requirements applicable to high-volume third-party sellers.

3. Marketplace and Seller-of-Record Role

You are the commercial Seller of each Item you list and are responsible for the Item and Listing except where law assigns TechVentory a specific statutory marketplace-facilitator, tax, payment, or consumer-protection role. TechVentory does not ordinarily own your inventory, manufacture your Item, install it, or become the product warrantor merely by processing payment, shipping, a refund, or a dispute.

4. Ownership, Source and Authority to Sell

You represent that you own the Item or have lawful authority to sell it, that it is not stolen or unlawfully encumbered, and that you can substantiate source, ownership, OEM or authenticity claims when reasonably requested. You must not sell an Item that you know or reasonably should know is counterfeit, recalled, subject to stop-sale, illegally imported, or otherwise unlawful.

5. Listing Accuracy and Required Disclosures

Every Listing must be materially accurate and must disclose part number, brand/manufacturer as known, appliance type, condition, quantity, photos, included or missing components, testing performed, known defects, damage, contamination, compatibility limitations, package condition, and shipping characteristics that a reasonable Buyer would consider material. Do not make a safety, compatibility, authenticity, or performance claim you cannot reasonably support.

6. Seller Content and License

You retain ownership of Seller Content but grant the Company the license stated in the Terms to operate, secure, improve, support, and promote the Service and enabled integrations. You represent that you have rights to submit the content and that it does not violate copyright, trademark, privacy, publicity, confidentiality, or other rights.

7. Condition Standards

You must use the published condition labels accurately. If the Item was installed or used, disclose that fact. If it was repaired or refurbished, disclose that fact and material work performed. If it is untested, do not imply that it works. Opened, replacement, damaged, or missing packaging must be disclosed when material.

8. OEM, Replacement, Authenticity and Gray-Market Goods

Use OEM, genuine, original, replacement, aftermarket, compatible, equivalent, remanufactured, and similar terms truthfully. A manufacturer name or part number may be used for truthful identification or compatibility reference but may not imply sponsorship, authorization, or affiliation. Gray-market or parallel-import status must be disclosed when materially relevant and lawful.

9. Prohibited and Restricted Items

You may not list prohibited or restricted Items identified in the Terms, including recalled or stop-sale goods, stolen or counterfeit goods, unsupported hazardous materials, bulk refrigerant or cylinders without an enabled lawful workflow, mercury-containing controls without an enabled workflow, dangerous pressurized containers, materially contaminated parts, or Items prohibited by payment, carrier, marketplace, sanctions, export, or other applicable rules.

10. Inventory, Pricing and Fees

You are responsible for available quantity and Seller-controlled price. Do not knowingly oversell inventory or manipulate price, quantity, or fees to mislead Buyers. TechVentory fees are those disclosed in the Seller interface or applicable plan at the time of the transaction or feature use.

11. Taxes, Forms and Records

You must provide tax forms, business information, payout information, and records reasonably required by Stripe, TechVentory, or law. TechVentory may collect and remit sales, use, marketplace, or similar taxes where required. You remain responsible for your income, business, resale, license, permit, and other Seller-specific tax obligations.

12. Orders and Contract Formation

When TechVentory confirms a paid order, you must fulfill it according to the Listing unless the order is lawfully canceled, inventory is genuinely unavailable, or TechVentory instructs otherwise for fraud, safety, legal, or payment reasons. Do not substitute a different Item without the Buyer's express agreement.

13. Packaging and Shipping

You are responsible for safe packaging, correct package dimensions and weight, legally accurate declarations, required labels, and carrier compliance. You must not conceal hazardous-material characteristics to obtain a cheaper or unsupported label. Ship within the handling time stated to the Buyer or promptly communicate a legitimate delay through the Service.

14. Delivery, Carrier Claims and Risk of Loss

Unless mandatory law or a transaction-specific term requires otherwise, risk of loss remains with you until carrier-confirmed delivery. You must cooperate with carrier claims and preserve packaging, shipment, and value evidence. Carrier reimbursement is separate from the Buyer's marketplace remedy and does not permit duplicate recovery.

15. Return Policies and Mandatory Remedies

You must honor the return terms displayed in your Listing and any remedy required by law or TechVentory marketplace rules. A materially not-as-described, wrong, counterfeit, recalled, or materially damaged Item may require return, refund, replacement, or other remedy depending on the circumstances. You may offer broader voluntary returns.

16. Refunds and Cancellations

TechVentory may cancel an order or issue a full or partial refund when reasonably necessary to apply the Terms, this Agreement, mandatory law, payment-provider requirements, fraud controls, or safety rules. Before payout, the refunded amount may simply reduce Seller proceeds. After payout, you remain responsible for Seller-caused amounts under Section 18.

17. Payout Eligibility and Transfer Timing

Payout eligibility follows the status and timing displayed in the Seller account and may depend on payment settlement, delivery, fraud review, return windows, verification, provider rules, and legal holds. TechVentory does not guarantee a fixed payout date when a transaction is under a legitimate hold or review.

18. Payout Holds, Reversals and Seller Recovery

You authorize lawful recovery of Seller-responsible refunds, chargebacks, provider fees, shipping losses, tax adjustments, or other transaction amounts through available Stripe Connect reversals, future-payout offsets, account balances, or direct repayment. If an automated mechanism is unavailable, you remain contractually responsible to repay the confirmed amount. We will not describe funds as escrow or a trust account merely because payout is delayed.

19. Chargebacks and Payment Disputes

You must cooperate with chargeback evidence requests and preserve Listing snapshots, messages, shipment proof, delivery information, photos, and other transaction records. A chargeback decision by a bank or network may affect payout and recovery. You may not manipulate evidence or retaliate against a Buyer for exercising a lawful dispute right.

20. Product Safety, Recalls and Incident Cooperation

Promptly report recalls, stop-sale notices, fires, injuries, electric shock, refrigerant release, serious property damage, counterfeit concerns, or other material product-safety events. Preserve the Item, packaging, labels, source records, photos, and communications when reasonably requested. TechVentory may suspend Listings, notify affected parties, coordinate return or disposition, or cooperate with manufacturers and regulators.

21. Verification Program

Verification is not a guarantee or endorsement. You must keep submitted information accurate and current. If the INFORM Consumers Act or another law applies to you, you must provide required bank/payee, tax, contact, identification, and certification information within the required time and permit disclosures the law requires. TechVentory may suspend future sales until required information is provided.

22. Company Accounts and Roster Sellers

A Company Account Owner is responsible for roster authority and company inventory. A roster technician represents that the technician is authorized to list and sell the applicable company inventory. Inventory and transaction records created while a technician is on the roster may remain associated with the Company Account after the technician leaves.

23. eBay and Connected Marketplaces

If you connect eBay or another Connected Marketplace, you authorize the data transmissions needed for the enabled features and remain responsible for that marketplace's fees, policies, buyer-protection rules, tax requirements, Listing compliance, and account status. Disconnecting stops future synchronization as supported but may not remove live third-party Listings; you remain responsible for managing them.

24. AI-Assisted Listing Features

AI tools may suggest Listing content, part information, measurements, translations, or other fields. You must review and confirm every AI-assisted field before publication and remain responsible for the final Listing. AI output is not verification and may be inaccurate, incompatible, unsafe, non-unique, or legally restricted. Do not submit unnecessary sensitive information to AI features.

25. Messaging and Off-Platform Circumvention

Use TechVentory messaging only for lawful marketplace communication. Do not harass, threaten, send spam or malware, manipulate evidence, or direct a Buyer off-platform to avoid fees, taxes, safeguards, payment records, refunds, or enforcement. Authorized administrators may review messages for limited support, safety, fraud, legal, compliance, and enforcement purposes.

26. Seller Warranties and Disclaimers

You warrant that your Listing and Item comply with this Agreement and that your express claims are accurate. TechVentory does not provide the Seller's product warranty and does not guarantee authenticity, compatibility, condition, or performance merely because a Listing is hosted, verified, moderated, paid, shipped, or refunded through the Service.

27. Seller Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless the Company and its personnel from third-party claims arising from your Item, Listing, product defect, recall, infringement, counterfeit or authenticity issue, unlawful sale, packaging, shipping declaration, tax or permit breach, or material violation of this Agreement. You must cooperate reasonably with defense and insurer requests. You may not settle a claim in a way that admits fault by or imposes a non-monetary obligation on the Company without written consent. Nothing in this document excludes or limits liability, rights, remedies, duties, or protections that cannot lawfully be excluded or limited. Any disclaimer, release, limitation, indemnity, or allocation of responsibility applies only to the fullest extent permitted by applicable law, including California Civil Code section 1668.

28. Enforcement, Suspension and Termination

TechVentory may warn, restrict, suspend, or terminate Seller access; hide or remove Listings; block checkout or messaging; cancel orders; hold payouts; revoke verification; or disconnect integrations for fraud, safety, prohibited Items, security, legal restrictions, payment default, repeated policy violations, or provider requirements. A banned Seller may not create another account to evade enforcement.

29. Records, Audits and Cooperation

Maintain reasonable records supporting ownership, source, authenticity, condition, testing, taxes, shipping, returns, and transaction history for as long as reasonably necessary for active obligations and applicable law. Cooperate with Stripe, carriers, insurers, tax authorities, regulators, courts, law enforcement, manufacturers, and professional advisors when a lawful or contractually valid request relates to your transaction. Legal holds suspend ordinary deletion.

30. Informal Resolution, Governing Law and Courts

California law governs to the extent permitted by law, without displacing mandatory law applicable to a transaction or party. Before filing an ordinary claim against the Company, the claimant must provide written notice describing the dispute and allow 30 days for informal resolution. Except for a matter eligible for small claims court or required to proceed in another mandatory forum, the parties consent to the state and federal courts located in San Diego County, California. These Terms do not require pre-dispute arbitration or a blanket advance waiver of a civil jury. Legal notices and intellectual-property complaints may be sent to info@csdcca.com. When physical notice is required, send it to 12051 World Trade Dr, Unit 1, San Diego, CA 92128.

31. Claims Deadline and Procedural Limits

Platform return and dispute periods determine TechVentory remedies but do not shorten non-waivable statutory claims. This Agreement does not impose a blanket one-year claims deadline, class-action waiver, or pre-dispute jury waiver.

32. Changes, Assignment and General Terms

This Agreement may be updated prospectively with reasonable notice of material changes. You may not assign Seller rights or obligations without written Company consent. The Company may assign this Agreement in connection with a merger, reorganization, financing, or sale of the relevant business. If a provision is unenforceable, it will be modified or severed to the minimum extent necessary and the remainder will remain effective. Electronic records and signatures may be used to the extent permitted by law.
